These Terms of Service (“Terms”) govern any consulting engagement, website use, or online payment between you (“Client”) and FA Consulting LLC (“FA Consulting,” “we,” “us,” or “our”), a wage and hour compliance consulting business based in DeLand, Florida. By engaging our services, using this website, or submitting a payment through our Client Payment Portal, you agree to these Terms.
Nature of Services
FA Consulting LLC provides wage and hour compliance consulting, including but not limited to FLSA audits, DOL audit preparation, employee classification review, and related advisory services, based on the founder’s experience as a former U.S. Department of Labor Wage and Hour Investigator.
Not Legal Advice
FA Consulting LLC is a compliance consulting firm, not a law firm, and Frank Alvarado is not an attorney. Nothing provided through our services, this website, or any related materials constitutes legal advice or creates an attorney-client relationship. We recommend that clients consult with a qualified employment attorney for legal advice specific to their situation.
Engagement and Scope of Work
The specific scope, deliverables, and terms of an engagement are established individually with each client, whether through a written engagement letter, a signed proposal, or an agreed-upon scope of work. These Terms apply in addition to, and do not replace, any separately signed engagement agreement.
Fees and Payment
Fees are billed according to the engagement type agreed upon (hourly consulting or a flat monthly retainer, as described on our Engagement Options & Pricing page). Retainer, invoice, and engagement payments may be submitted online through our Client Payment Portal via PayPal, or by another method agreed upon with FA Consulting LLC.
Please include your invoice or matter number with any online payment so it can be applied correctly. All fees are due as invoiced unless otherwise agreed in writing. FA Consulting LLC does not store client payment card details; payments are processed securely by PayPal.
Confidentiality
FA Consulting LLC treats client payroll records, business information, and communications as confidential, and will not disclose them to third parties except as required to perform the engagement, as authorized by the client, or as required by law.
No Guarantee of Outcome
Wage and hour compliance involves the application of federal and state law to each employer’s specific facts, and requirements may change over time. While FA Consulting LLC provides guidance based on extensive enforcement experience, we cannot guarantee any particular outcome, including the outcome of a DOL audit, investigation, or litigation.
Independent Contractor Relationship
FA Consulting LLC acts as an independent contractor in all engagements. Nothing in these Terms creates an employment, partnership, or joint venture relationship between FA Consulting LLC and any client.
Limitation of Liability
To the fullest extent permitted by law, FA Consulting LLC’s total liability for any claim arising from our services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim. FA Consulting LLC is not liable for indirect, incidental, or consequential damages.
Website Use
This website and its content are provided for general informational purposes only and do not constitute legal or professional advice. Use of this website, including any forms, downloads, or the Client Payment Portal, does not create a consulting or advisory relationship absent a separate engagement agreement.
Termination
Either party may terminate an ongoing engagement in accordance with the terms of the applicable engagement agreement. Fees for services rendered up to the date of termination remain due.
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles.
Changes to These Terms
FA Consulting LLC may update these Terms from time to time. The version posted on this page at the time of an engagement or payment applies.
